ADNOC's XRG Completes Southern Gas Corridor Stake Purchase

XRG, the international investment arm of Abu Dhabi National Oil Company, has completed the acquisition of a stake in Southern Gas Corridor CJSC, the Azerbaijani state company that holds interests in the gas fields and pipelines linking the Caspian to southern Europe, Trend reported on 16 September, citing the company.

The deal closes non-binding heads of terms signed on 3 November 2025 on the sidelines of ADIPEC in Abu Dhabi, which followed a memorandum of understanding between Azerbaijan's Ministry of Economy and XRG. The size of the stake and the price were not disclosed in the announcement.

What XRG has bought into

Southern Gas Corridor CJSC was established in 2014 to hold Azerbaijan's participation in the Shah Deniz development and the chain of pipelines that carries its gas: the South Caucasus Pipeline through Georgia, TANAP across Türkiye and TAP into Italy. The network spans roughly 3,500 kilometres with capacity of up to 26 billion cubic metres a year, according to the company description carried by Trend.

XRG framed the purchase as advancing an integrated Caspian strategy that combines upstream positions in Azerbaijan and Turkmenistan with midstream infrastructure to Europe. It already holds an interest in the Absheron field with SOCAR and TotalEnergies, whose gas is being lined up for export from 2029, as CBJ reported in August.

Why it matters

It is a rare case of an outside investor taking equity in the corridor's state holding vehicle rather than in a single field or pipeline. For Baku it converts part of a state asset into cash and brings in a partner with deep pockets at the moment the corridor's expansion, with more TAP capacity and more upstream gas from Absheron and ACG deep gas, needs funding. For Abu Dhabi, it is a stake in a route that European buyers have leaned on since 2022 and that now also feeds Türkiye, where Azerbaijan became the largest gas supplier in July according to Trend's calculations from regulator data.

It also completes a striking week of UAE capital flowing into Azerbaijan: Masdar's financial close on the 315MW Neftchala solar plant and its new storage and expansion agreements, AzerGold's exploration deal with IRH's Terra Mining in Nakhchivan, and now XRG's midstream stake, all signed or announced around Sheikh Tahnoon bin Zayed's visit to Baku.

What is not known

The announcement leaves the important questions open: how large the stake is, what XRG paid, whether it carries board representation or governance rights, and whether the proceeds go to the state budget, to SOFAZ or to fund the corridor's own capital programme. The corridor's economics also depend on gas that has not yet been produced; Azerbaijan's gas export revenue fell 4.8% in January-August despite flat volumes, and the pipelines are only as valuable as the molecules that fill them. XRG has bought a share of an established route with a strong European customer base. What it earns will depend on whether upstream volumes materialise on schedule.
